Terms of Service

1. Agreement

These terms are between RED BEAR TECHNOLOGY S.R.L. ("PulseGrid", "we", "us") — a company registered in Romania, Trade Register No. J08/249/2023, CUI RO47523219, with its registered office at Str. Lungă nr. 149, ap. P3, Mun. Brașov, jud. Brașov, Romania — and the individual or organisation using the service ("you"). By creating an account or using PulseGrid, you agree to them. If you're agreeing on behalf of an organisation, you confirm you're authorised to bind it. PulseGrid is a business-to-business service intended for organisations and the people acting for them in the course of a business; it is not offered to consumers.

2. The service

PulseGrid is a platform for monitoring unattended devices — kiosks, payment terminals, vending machines, chargers and similar. Your devices send events to our API; we store them and present revenue, uptime, errors and alerts across your locations.

We improve the service continuously and may add, change or remove features. If we remove something you materially rely on, or make a materially adverse change, we'll give reasonable notice where we can.

3. Accounts

You must give accurate registration details and keep them current.
You're responsible for activity under your account and for keeping credentials secure. Tell us promptly at [email protected] if you suspect unauthorised access.
API keys are credentials. Each terminal gets its own ingest key, and organisation-level API keys exist for management access. Anyone holding a key can act with it — treat them as secrets, and rotate a key promptly if it may have been exposed. Rotation is available in the dashboard.
You must be at least 16, and legally able to enter a contract.

4. Plans, billing and taxes

Current plans and prices are on our pricing page. The Free plan is available at no cost and with reduced limits.
Plan limits are enforced. Each plan caps the number of terminals and users, and sets how long event history is retained. Exceeding a cap means the action is refused, not silently billed.
Paid plans are billed in advance through our payment processor, Stripe, and renew automatically each period until cancelled. Prices are in EUR and are exclusive of VAT or other applicable taxes; where such taxes apply, they are added at checkout.
You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.
Refunds: fees are non-refundable, including for partial billing periods, except where a refund is required by law.
If a payment fails, we may suspend or downgrade the account after reasonable notice.
We may change prices on 30 days' notice. Changes never apply to a billing period already paid for.

5. Your data

You own your data. The device events and content you send stay yours. We claim no ownership.
You grant us only the licence needed to run the service for you: storing, processing and displaying your data back to you and your team.
You're responsible for having the right to send us what you send — particularly anything personal you put in a transaction's free-form metadata field.
Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, we do so as your processor, on your instructions.
Retention is finite and deletion is permanent. Event history is retained for the period your plan provides — 7 days on Free, 90 days on Starter, 1 year on Pro — after which it becomes inaccessible and is then permanently deleted by a background process. Export anything you need to keep beyond your plan's window; CSV export is available on paid plans.

6. Acceptable use

You agree not to:

Break the law, or infringe anyone's rights, using the service.
Attempt to access another organisation's data, or probe, scan or test our security without our written permission.
Interfere with the service's operation — including circumventing rate limits, plan limits, or authentication.
Resell or white-label the service without our written agreement.
Upload malware, or use the service to send unsolicited messages.

We may suspend an account that's causing harm or risk to the service or others. Where practical we'll warn first; where the risk is immediate we may act first and explain after.

7. Availability

We work to keep PulseGrid available and reliable, but we don't promise it will be uninterrupted or error-free. We may need planned maintenance, and will give notice where we reasonably can.

The Pro plan advertises a 99.9% uptime figure. This is an operational target, not a contractual guarantee, and we do not offer service credits for periods below it. The Free and Starter plans are provided without an uptime commitment. If we introduce a formal service-level agreement — with a defined measurement window, exclusions and credits — it will be published and linked here.

8. Third-party services

PulseGrid relies on third parties to operate — including Stripe for payments, Resend for email, Mapbox for maps, and Google and Microsoft for optional sign-in. Their own terms govern their services, and we're not responsible for their acts or omissions. The current list is in our Privacy Policy.

9. Termination

You may stop using the service and delete your organisation at any time.
We may suspend or terminate your account if you materially breach these terms and don't fix it within 30 days of notice, or immediately where the breach can't be fixed or the law requires it.
On termination your access ends and your data is deleted per our retention practices. Export beforehand if you need it.
Sections that by their nature should survive termination — ownership, disclaimers, liability, and governing law — do.

10. Disclaimers

Except as expressly stated and to the fullest extent the law allows, the service is provided "as is", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.

PulseGrid is a monitoring and reporting tool. It is not a payment processor, a system of record for financial reporting, or a safety-critical control system. Don't rely on it as your sole source for accounting, tax or regulatory reporting, and don't use it where its failure or a delayed alert could cause injury or serious harm.

11. Liability

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for anything else applicable law does not permit us to exclude.

Subject to that paragraph, and to the fullest extent the law allows:

We are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, goodwill or anticipated savings, whether the claim is in contract, tort (including negligence) or otherwise, and even if we had been warned the loss was possible.
Because PulseGrid is a monitoring and reporting tool (see section 10), we are not liable for loss arising from reliance on it as a system of record, from a missed, delayed or inaccurate alert, or from any interruption or unavailability of the service.
Our total aggregate liability arising out of or relating to the service — across all claims in any twelve-month period — will not exceed the total fees you paid us for the service in the twelve (12) months before the event giving rise to the claim, or, where you use the service free of charge, one hundred euros (EUR 100).

12. Indemnity

You will defend, indemnify and hold us harmless from any third-party claim, and from the losses, damages and reasonable legal costs resulting from it, to the extent the claim arises from: (a) the data or content you or your devices send to the service, including anything placed in a transaction's free-form metadata field; (b) your use of the service in breach of these terms or of applicable law; or (c) your infringement of a third party's rights. We will tell you promptly about any such claim, let you control its defence (except that any settlement which imposes an obligation on us needs our prior consent, not to be unreasonably withheld), and give you reasonable cooperation at your expense.

13. Changes to these terms

We may update these terms. Material changes take effect 30 days after we notify you by email or in-product notice; continuing to use the service after that means you accept them. If you don't, you may cancel before they take effect.

14. Governing law

These terms are governed by the laws of Romania, and the courts of Brașov, Romania have exclusive jurisdiction, without affecting any mandatory consumer protections available to you locally.

15. General

These terms, with the Privacy Policy, are the entire agreement between us on this subject.
If a provision is unenforceable, the rest stays in force.
Not enforcing a right immediately doesn't waive it.
You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or sale of assets.
